1. Advertiser Agreement
This Advertiser Agreement ("Agreement") is entered into between AFFNight LLC ("Network") and the Advertiser ("you" or "Advertiser") upon acceptance of these terms. By submitting offers to our network, you agree to be bound by this Agreement.
2. Offer Requirements
All offers submitted to AFFNight must meet the following requirements:
- Offers must comply with all applicable laws and regulations in target countries
- Landing pages must be functional, professional, and free of malware
- Offer descriptions must be accurate and not misleading
- Advertisers must provide clear conversion criteria and payout terms
- Offers must not promote illegal products, services, or activities
- Creatives and marketing materials must be provided when applicable
- Offers must have proper tracking integration (postback URL or pixel)
- Advertisers must specify accepted and restricted traffic sources
3. Tracking & Integration
Accurate tracking is essential for the partnership. Advertisers agree to:
- Implement server-to-server (S2S) postback tracking or pixel tracking as specified
- Fire conversion postbacks in real-time upon successful conversion
- Pass all required tracking parameters (click_id, affiliate_id, etc.)
- Notify AFFNight immediately of any tracking issues or discrepancies
- Maintain tracking uptime of at least 99.5%
- Allow AFFNight to audit conversion data when discrepancies arise

4. Payment Terms
Payment obligations of the Advertiser include:
- Advertisers agree to pay AFFNight the agreed-upon payout for each valid conversion
- Invoices are issued on a Net-15 or Net-30 basis as agreed upon
- Payment must be made via wire transfer or other agreed payment method
- Late payments may incur a 1.5% monthly interest charge
- Disputed conversions must be reported within 7 days of the invoice date
- AFFNight reserves the right to pause offers for advertisers with overdue payments
5. Quality Standards
AFFNight maintains high quality standards. Advertisers acknowledge that:
- AFFNight actively monitors traffic quality and may reject low-quality conversions
- Conversions deemed fraudulent will not be paid
- AFFNight may request additional verification for high-volume campaigns
- Advertisers must respond to quality inquiries within 48 hours
6. Exclusivity & Non-Compete
Unless otherwise specified in a separate agreement, this contract is non-exclusive. Advertisers may work with other affiliate networks simultaneously. However, offers designated as "exclusive" must not be distributed to competing networks during the exclusivity period.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information, including but not limited to payout rates, conversion data, traffic volumes, and business strategies. Confidential information shall not be disclosed to third parties without prior written consent.
8. Termination
Either party may terminate this Agreement with 30 days written notice. Upon termination:
- All active offers will be paused and removed from the network
- Outstanding payments must be settled within 30 days
- Tracking data will be retained for 90 days for reconciliation purposes
- Confidentiality obligations survive termination
9. Limitation of Liability
AFFNight LLC shall not be liable for any indirect, incidental, or consequential damages arising from this Agreement. AFFNight's total liability shall not exceed the total amount paid by the Advertiser in the preceding 90 days.
